Terms of Service

By accessing or using the Westbase One platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms constitute a legally binding agreement between you ("Client", "you") and Westbase One GmbH ("Westbase", "we", "us").

Westbase provides the following services:

• Company formation facilitation in 14 jurisdictions
• Registered agent and business address services
• Bank account introduction and fintech onboarding
• Tax ID and VAT registration assistance
• Annual compliance management
• Document management and delivery
• Related business services as described on our platform

All formation filings are completed by licensed local legal partners. Westbase acts as a facilitator and coordinator, not as the legal service provider.

To use our services you must:

• Be at least 18 years of age
• Have legal capacity to enter into contracts
• Not be located in a jurisdiction sanctioned by OFAC, EU, or UN
• Provide accurate and complete information
• Pass our KYC/AML identity verification

Fees are displayed at the time of order and are quoted in the relevant currency for each jurisdiction. All fees are:

• Due in full before formation work commences
• Non-refundable once government filings have been submitted
• Inclusive of government filing fees unless otherwise stated
• Subject to change with 30 days notice for new orders

Annual compliance fees are due each year. Failure to pay may result in company dissolution in the relevant jurisdiction.

Refunds are available as follows:

• Full refund: if we have not yet commenced filing with the government authority
• Partial refund: if filing has commenced but the government has not yet processed it (minus filing fees and processing costs)
• No refund: once the government has accepted and processed your filing

To request a refund, contact hello@westbase.io within 14 days of payment.

You are responsible for:

• Providing accurate, complete, and up-to-date information
• Promptly responding to requests for additional documents
• Understanding the legal and tax implications of your chosen structure
• Meeting all ongoing compliance obligations post-formation
• Maintaining the security of your account credentials
• Notifying us of any changes to your circumstances

You may not use our platform for:

• Money laundering, fraud, or any illegal activity
• Circumventing sanctions or tax obligations
• Businesses involving illegal weapons, drugs, or prohibited services
• Creating shell companies for deceptive purposes
• Any use that violates applicable laws in any jurisdiction

To the maximum extent permitted by law, Westbase's liability is limited to the fees paid by you for the specific service that gave rise to the claim.

We are not liable for: delays caused by government authorities, changes in local law, acts of third parties, or consequential/indirect damages.

These Terms are governed by the laws of Germany. Disputes will be resolved in the courts of [City], Germany, except where mandatory consumer protection laws apply in your jurisdiction.

We may modify these Terms at any time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
